Branding and Representation Requirements

Applicant understands that while operating under Browntex authority, Applicant must represent as a Browntex asset.

  • Applicant agrees Browntex logo must be displayed on the truck as directed by Browntex.
  • Applicant agrees the Browntex DOT number and MC number must be displayed on the truck as directed by Browntex.
  • Applicant agrees Applicant logo, company name, or other carrier branding may not be displayed while operating under Browntex authority.

Applicant understands this is required to reduce fraud risk and confusion in the market and to protect customer relationships. Failure to comply may result in being placed out of service until corrected.

Equipment Responsibility Acknowledgment

Applicant acknowledges they are solely responsible for equipment roadworthiness,
maintenance, tires, repairs, and DOT compliance always.

Required Equipment and Fuel Program

Truck Condition, Inspection, and Maintenance Requirements

  • Truck condition standard: Equipment must be clean, safe, dependable, and professional in appearance. No major leaks, major body damage, unsafe tires, brake issues, or any condition that could create service failures or customer complaints.
  • Initial onboarding inspection: Before dispatching the first load, Applicant agrees to complete a documented third-party inspection at a truck stop or shop approved by Browntex Transport LLC. Inspection results must be provided to Browntex Transport LLC.
  • Quarterly inspections: Applicant agrees to complete a documented third-party inspection every quarter and provide results to Browntex Transport LLC. Failure to comply may result in being placed out of service until complete.
  • Maintenance responsibility: Applicant is responsible for always maintaining the truck and trailer in DOT compliant condition, including all required inspections, repairs, and preventive maintenance.

Inspection Rights

Browntex may require inspections at any time for safety and compliance. If equipment fails inspection, Applicant may be placed out of service immediately until corrected and verified. Applicant is responsible for all costs of repairs and reinspection’s.

Insurance Requirements

Cargo Insurance: Provided by Browntex Transport LLC while under dispatch on Browntex loads (subject to policy terms).

Insurance Proof Requirement

Applicant must provide Certificates of Insurance prior to dispatch and upon renewal. Certificates must list Browntex Transport LLC as Certificate Holder, and where applicable, as Additional Insured. Coverage must always remain in force while operating in connection with Browntex. Applicant understands Browntex may require higher limits or additional coverage based on shipper requirements or risk profile and may decline dispatch if requirements are not met.

Pay Structure and Evaluation

  • Split: 80 percent to Browntex Transport LLC, 20 percent to Owner Operator.
  • 6 month evaluation: Pay split is subject to review at the 6 month mark and may be adjusted based on safety, service, communication, reliability, and overall performance. Any adjustment must be agreed to in writing.

Settlement and Quick Pay Option

Standard settlements are processed on the normal settlement schedule determined by Browntex. Applicants may request Next Day Quick Pay for eligible loads. If approved, Next Day Quick Pay will be subject to a fee equal to 5 percent of the eligible linehaul amount for that load. The quick pay fee will be deducted from settlement. Browntex may decline quick pay on any load due to paperwork issues, missing documents, compliance holds, customer payment status, or other risk factors.

No Guarantee of Work

Browntex does not guarantee any minimum number of loads, miles, or revenue. Loads are offered at Browntex discretion based on customer requirements, performance, availability, and compliance.

Load Commitment and Dispatch Integrity

Once Applicant accepts a load offered by Browntex and is dispatched on that load, Browntex will not rebroker, reassign, or recover that load with another carrier. The only exceptions are situations where Applicant cannot perform the load due to breakdown, safety issues, compliance issue, service failure risk, customer requirement, or if Applicant requests assistance, including a repower.

Repower and Service Failure Protection

If Applicant experiences a breakdown, mechanical issue, accident, or any circumstance that prevents timely pickup or delivery, Applicant must notify Browntex immediately with a realistic estimate to return to service. If the equipment cannot be returned to service within 48 hours, or if Browntex determines there is a risk of service failure, Applicant authorizes Browntex to repower the load using Browntex equipment or another carrier to protect the customer. Applicant agrees Browntex may deduct repower related costs from Applicant settlements, including recovery costs, replacement carrier costs, towing or transload coordination costs, layover, detention, storage, and customer chargebacks or penalties caused by the service failure, to the extent allowed by law and contract terms.

Insurance, Liability, Accidents, and Deductible Responsibility

  • Unladen liability requirement: Applicant must carry unladen liability, sometimes called bobtail or non-trucking liability, to cover periods when operating without a Browntex load, including personal use and travel to or from home. Proof of coverage is required before dispatch.
  • Accident responsibility: Applicant understands and agrees they are responsible for any accident caused by their negligence, actions, or failure to maintain equipment in safe operating condition.
  • Claims and deductible: If a claim occurs while operating under Browntex authority or hauling a load tendered by Browntex, Applicant agrees they are responsible for the applicable deductible amount on any claim where Applicant is determined to be at fault or where the loss is tied to Applicant negligence, preventable actions, improper securement, or maintenance related failure. Browntex may withhold settlement funds or deduct from payments as allowed by law and contract terms to recover deductible and related costs.
  • Reporting: Applicant must immediately report any accident, cargo incident, property damage, injury, citation, out of service event, inspection violation, or theft to Browntex.

Indemnity Acknowledgment

Applicant agrees they are responsible for claims, losses, fines, penalties, damages, and expenses, including reasonable attorney fees, arising from Applicant acts or omissions, equipment condition, securement, HOS violations, citations, or negligence.

Injury Coverage Acknowledgment

Applicant acknowledges they are not entitled to workers compensation, unemployment, or employee benefits through Browntex and are responsible for their own coverage and benefits.

Carrier Property, Leased or Loaned Equipment, and Damage Responsibility

  • Carrier may issue, lease, or loan equipment to the Applicant, including tarps, chains, binders, straps, edge protectors, coil racks, dunnage, electronics used for dispatch or compliance, fuel cards, badges, yard access devices, and other Carrier owned items.
  • Applicant is financially responsible for the full cost of repair or replacement of any Carrier owned, leased, or loaned equipment that is damaged, lost, stolen, destroyed, or not returned upon separation, normal wear excepted.
  • All Carrier property must be returned as directed by Browntex. If Carrier property is not returned as directed, Applicant authorizes Browntex to deduct the full replacement cost and reasonable administrative expenses from settlements or invoice Applicant directly.

Fuel Program and Fuel Service Fee

  • If Applicant utilizes Browntex fuel program or fuel card services, Applicant agrees there will be a fuel service fee of $0.05 per gallon added to all fuel purchases made through the program. The fuel service fee will be deducted from settlements as part of fuel charges.
  • Fees may be updated with notice. Program participation is optional and Browntex may suspend or discontinue the program at any time.

Code of Conduct, Professionalism, and Company Reputation

By signing below, you acknowledge and agree to the following:

  • Professional conduct: Maintain professionalism at all times with Browntex staff and at all shippers, receivers, and customer locations.
  • Facility rules and representation: Follow all shipper, receiver, and customer facility rules while representing Browntex.
  • Asset representation: While operating under Browntex authority, you will represent as a Browntex asset and will not display your own carrier logo or branding.
  • No misconduct: No harassment, discrimination, threats, intimidation, fighting, abusive language, or unsafe behavior.
  • Reputation: Any behavior that damages Browntex reputation, results in a customer complaint, results in being removed or banned from a facility, or creates a risk of losing business may result in immediate termination.
  • Confidentiality: You are prohibited from sharing or using Browntex customer or client data outside our organization.
  • No recording: Do not record calls, conversations, or interactions related to Browntex business unless expressly authorized by Browntex in writing and permitted by applicable law.
  • No solicitation: You may not solicit Browntex customers, carriers, or contacts for your own business or another carrier while operating under Browntex authority and for the period stated in the Owner Operator Agreement.
  • Compliance: Follow all DOT regulations, FMCSA guidelines, and Browntex policies.
  • Equipment maintenance: Maintain equipment in compliance with FMCSA safety regulations and keep inspections up to date.
  • Drug and alcohol testing: Participate in pre-employment and random drug and alcohol testing as required.
